5. Service Engagement

Engaging with Asoid Group’s services means entering into a cooperative partnership:

6. Severability

Should any part of these Terms and Conditions be found invalid, void, or unenforceable by a court of competent jurisdiction, that portion will be deemed severable and will not affect the validity and enforceability of the remaining provisions. If a court deems any provision of these Terms and Conditions invalid or unenforceable, but finds that limiting such a provision would make it valid and enforceable, then the provision will be considered to be written, interpreted, and enforced as so limited. Asoid (or Asoid Group) and the user agree to modify the affected provision to closely reflect our original intentions as much as possible.

7. Intellectual Property

Ownership of Intellectual Property: The intellectual property rights in the Asoid Group website, its services, and all materials within or transferred through it, including but not limited to software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, and all other forms of intellectual property, are owned by Asoid Group (or by third parties who have granted Asoid Group permission to use their intellectual property). The inclusion of any third-party proprietary content on the Asoid Group website does not imply endorsement by Asoid Group or its affiliates. Using the Asoid Group website and services does not grant you any ownership rights in the intellectual property contained therein.

Intellectual Property Created During Service Delivery: Asoid Group retains all rights, titles, and interests in any intellectual property, products, works, or creations developed as part of the services provided to clients. Unless explicitly agreed in a written contract, any content, processes, methodologies, products, or services developed by Asoid Group in the course of service delivery remain the exclusive property of Asoid Group.

8. Confidentiality

Asoid Group recognizes the importance of safeguarding our clients’ confidential and proprietary information. Throughout the service agreement and thereafter, Asoid Group commits to:

  • Maintain the confidentiality of all information received from the client that is not publicly available, using no less care than that which it uses to protect its own confidential information.
  • Use such confidential information solely for the purpose of providing the agreed-upon services.
  • Share such confidential information only with employees, agents, or subcontractors who need to know such information to perform the services and who are bound by confidentiality obligations at least as restrictive as those outlined herein.

The confidentiality obligations do not apply to information that:

  • Was known to Asoid Group before disclosure by the client without a confidentiality obligation;
  • Becomes publicly known through no fault of Asoid Group;
  • Is received from a third party without similar confidentiality restrictions and without breach of this Agreement.

9. Payment Terms

In return for the provision of services by Asoid Group, clients are required to compensate Asoid Group in accordance with the following terms:

  • Fees are due upon receipt of the invoice unless specified otherwise in a separate agreement.
  • Payments must be made in the specified currency of the invoice and include all taxes, withholdings, duties, or levies.
  • Should any invoice remain unpaid by its due date, Asoid Group reserves the right to:
    • Apply interest on the overdue amount at [specified interest rate] per annum or the maximum rate allowed by law, whichever is lower, from the due date until full payment.
    • Suspend services until full payment is received.
  • All payments to Asoid Group are non-refundable, except as stated in the agreement or required by law.

10. Limitation of Liability

Asoid Group’s responsibility towards the client, whether in contract, tort (including negligence), or otherwise concerning the services, is limited as follows:

  • Asoid Group shall not be liable for any indirect losses, such as lost profits, business, revenue, or anticipated savings, nor for any indirect, incidental, special, consequential, or punitive damages, or any other losses that were not reasonably foreseeable to both parties when the service agreement commenced.
  • The total aggregate liability of Asoid Group under these Terms and Conditions, for any reason including breach of contract, misrepresentation (whether tortious or statutory), tort (including negligence), and breach of statutory duty, shall not exceed the amount the client has paid to Asoid Group for the services related to the claim within the six months preceding the claim date.

Nothing in these Terms and Conditions will limit or exclude Asoid Group liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

11. Termination

  • Right to Terminate: Either Asoid Group or the client may terminate the agreement if the other party breaches any significant term or condition of these Terms and Conditions and fails to rectify that breach within a specified period after written notice.
  • Consequences of Termination: Upon termination, all rights and obligations under these Terms, including access to Asoid Group services, cease immediately, except for any obligations accrued before termination and those intended to continue post-termination.
  • Survival: Provisions regarding Intellectual Property, Confidentiality, Payment Terms, Limitation of Liability, and Governing Law will remain in effect even after these Terms and Conditions end.

12. Governing Law

These Terms and Conditions will be governed by and interpreted in accordance with the laws of the jurisdiction where the Asoid Group’s headquarters is located, without giving effect to any principles of conflicts of law. You agree to submit to the exclusive jurisdiction of the courts located within the headquarters’ jurisdiction for the resolution of any disputes arising out of or related to these Terms and Conditions or your use of the Service. This choice of jurisdiction does not prevent Asoid Group from seeking injunctive relief in any jurisdiction where harm to its intellectual property may occur. This section ensures that both parties have a clear understanding of the legal framework and the venue for resolving disputes, providing a basis for fair and equitable legal proceedings.

  • Feedback: Asoid Group welcomes feedback on these amendments. Any feedback provided will not be confidential, and Asoid Group may use it without restrictions.
